Terms and Conditions of Estimo AI

These Terms and Conditions (“Terms”) govern your access to and use of Estimo AI, a web-based software-as-a-service platform (the “Service”), operated by PICOSOFT AI LTD (company number 16525762) (“Picosoft AI”, “we”, “us”, or “our”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

  • “Account” means a user account registered to access the Service.
  • “AI Output” means any draft content, estimate, quote, or other material generated by the Service.
  • “Consumer” means an individual acting for purposes wholly or mainly outside their trade, business, craft, or profession.
  • “Subscription” means a paid recurring plan providing access to the Service.
  • “User Content” means any data, text, or information submitted by you to the Service.

2. About the Service

Estimo AI is an AI-assisted software tool designed to support users in drafting service quotes based on information provided by the user. The Service generates preliminary draft outputs only, which may be provided in text or PDF format.

Estimo AI does not send quotes to third parties on your behalf. All outputs are export-only.

3. AI Assistance and User Responsibility

3.1 Assistant, Not Generator

The Service acts solely as an AI-assisted drafting tool. All AI Outputs are indicative drafts only and are not final, binding, or authoritative.

3.2 User Review and Approval

You acknowledge and agree that:

  • All AI Outputs must be independently reviewed, verified, and approved by you before use;
  • You are solely responsible for the accuracy, completeness, legality, pricing, and suitability of any final quote or document;
  • You assume full responsibility for any reliance placed on AI Outputs.

3.3 No Professional Advice

AI Outputs do not constitute legal, financial, tax, accounting, or professional advice of any kind.

3.4 No Accuracy Guarantee

We make no representations or warranties that AI Outputs will be accurate, complete, error-free, or fit for any particular purpose. AI Outputs are generated using probabilistic models and may produce incomplete, inconsistent, or inaccurate results.

3.5 Input Modification

The Service may rephrase or expand user inputs; you agree that it is your responsibility to ensure these modifications do not alter your intended scope of work or legal obligations.

4. Eligibility and Accounts

  • You must be at least 18 years old to use the Service.
  • You are responsible for maintaining the confidentiality of your Account credentials and for all activity carried out under your Account.
  • We reserve the right to suspend or terminate Accounts that breach these Terms.

5. Acceptable Use

You agree not to use the Service:

  • For any unlawful, fraudulent, or misleading purpose;
  • To generate or disseminate false, deceptive, or harmful content;
  • In a manner that infringes intellectual property or other rights;
  • To upload confidential, regulated, or sensitive personal data unless lawfully permitted.

6. User Content and Data

6.1 Ownership

You retain all rights in your User Content.

6.2 Licence to Operate the Service

You grant us a limited, non-exclusive licence to process User Content solely to operate, maintain, and improve the Service.

6.3 Service Improvement

You agree that we may use aggregated and anonymised data derived from use of the Service for analytics, improvement, and development purposes.

6.4 Third-Party Processing

The Service utilizes third-party artificial intelligence providers (such as OpenAI) to generate AI Outputs. You acknowledge that your User Content is subject to the data processing terms and privacy policies of these third-party providers in addition to these Terms.

7. Intellectual Property

All intellectual property rights in the Service, software, models, branding, and underlying technology belong to Picosoft AI or its licensors.

You may commercially reuse AI Outputs without restriction, subject to these Terms.

8. Subscriptions, Trials, and Payments

8.1 Free Trial

We may offer a free trial period. We will send you a reminder email before your trial period ends. Unless you cancel your Subscription before the end of the trial period, your Subscription will automatically convert into a paid Subscription.

8.2 Subscriptions

Subscriptions are billed monthly or annually in advance and renew automatically unless cancelled. You may cancel your subscription at any time via the Account Settings dashboard within the Service.

8.3 Fees

All fees are exclusive of applicable taxes unless stated otherwise.

8.4 Refunds

Except where required by applicable law, all fees are non-refundable. Consumers retain any mandatory statutory rights under UK or EU consumer law.

9. Service Availability and Changes

  • We do not guarantee uninterrupted or error-free operation of the Service.
  • We may modify, suspend, or discontinue any part of the Service at any time.

10. Suspension and Termination

  • We may suspend or terminate your access immediately if you breach these Terms or misuse the Service.
  • Upon termination, your right to use the Service will cease.

11. Limitation of Liability

11.1 Exclusions

To the fullest extent permitted by law, we exclude all liability for indirect, consequential, incidental, special, or punitive damages, including loss of profits, business, data, or goodwill.

11.2 Liability Cap

To the fullest extent permitted by law, our total liability arising out of or in connection with the Service, whether in contract, tort (including negligence), or otherwise, shall not exceed the fees paid by you in the one (1) month immediately preceding the event giving rise to the claim. This cap applies per claim.

11.3 Nothing in These Terms

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

12. Indemnity

You agree to indemnify and hold harmless Picosoft AI from any claims, damages, losses, or expenses arising from your use of the Service or breach of these Terms.

13. Export Control and Sanctions

You represent that you are not subject to sanctions or export restrictions and will comply with applicable export control laws.

14. Force Majeure

We shall not be liable for failure or delay caused by events beyond our reasonable control.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms. To the fullest extent permitted by law, you agree not to bring proceedings in any jurisdiction outside England and Wales, including the courts of the United States of America.

Nothing in this clause limits mandatory consumer rights under applicable law.

16. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance.
